1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the website, services, consultations, installations, and related offerings provided by Shack Solutions (“Shack Solutions,” “Company,” “we,” “our,” or “us”). By accessing our website, requesting a quote, scheduling a consultation, entering into a service agreement, or otherwise engaging us to provide products or services, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use our website or services. These Terms form a binding agreement between you and Shack Solutions and apply in addition to any written contract you may enter into with us for specific projects.

2. About Shack Solutions

Shack Solutions is a contracting and smart home services company operating primarily in the Greater Toronto Area in Ontario, Canada. We provide residential and light commercial services including smart home installation, automation integration, low-voltage wiring, security systems, camera installation, audio and video systems, network configuration, drywall services, deck construction, landscaping, snow clearing, architectural design services, and related improvements. Our services may expand, evolve, or change at our discretion. Nothing in these Terms obligates us to provide any particular service unless confirmed in a written agreement signed by both parties.

3. Website Use

You are granted a limited, non-exclusive, revocable license to access and use our website for lawful purposes only. You agree not to use the website in any manner that violates applicable laws or regulations or that could damage, disable, overburden, or impair the website. You may not attempt to gain unauthorized access to any portion of the website, its servers, or related systems. You may not copy, reproduce, republish, distribute, modify, or create derivative works from website content without our prior written consent. We reserve the right to restrict or terminate access to the website at any time without notice for conduct that we believe violates these Terms or is otherwise harmful to our business.

4. Eligibility

You must be at least eighteen years of age and legally capable of entering into binding contracts under the laws of Ontario to use our services. If you are entering into an agreement on behalf of a corporation, partnership, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms and any related agreements.

5. Quotes and Estimates

Any quote, estimate, or proposal provided by Shack Solutions is based on the information available at the time it is prepared. Estimates may rely on information provided by you, including descriptions, measurements, photographs, architectural drawings, or assumptions about site conditions. Quotes are valid only for the time period specified in writing and may be withdrawn or revised at our discretion prior to acceptance. A quote does not constitute a binding contract until a written agreement is signed and any required deposit is received. Unforeseen site conditions, hidden structural issues, code compliance requirements, material cost increases, or client-requested modifications may result in adjustments to the quoted price.

6. Service Agreements and Scope of Work

All services provided by Shack Solutions are subject to a written agreement outlining the scope of work, pricing, materials, timeline, and payment schedule. The written agreement defines the specific responsibilities of both parties. Work outside the defined scope will not be performed unless documented in a written change order signed by both parties. In the event of a conflict between these Terms and a signed project agreement, the terms of the signed project agreement shall prevail with respect to that specific project.

7. Payment Terms

Payment terms will be specified in the written agreement. Deposits may be required before work begins. Progress payments may be required at specified milestones, and final payment is typically due upon substantial completion of the project. Failure to make timely payments may result in suspension of work until payment is received. We reserve the right to charge interest on overdue amounts at the maximum rate permitted under Ontario law. You agree to reimburse reasonable costs incurred in collecting overdue payments, including administrative fees and legal costs where applicable.

8. Change Orders

Any changes to the agreed scope of work must be documented in writing through a change order. Change orders may affect the total project cost, timeline, materials, and labor requirements. Shack Solutions is not obligated to proceed with additional or modified work without written approval of a change order. Verbal requests or informal communications do not constitute authorization for scope changes.

9. Project Timelines and Delays

Project timelines are estimates only and are not guaranteed completion dates unless explicitly stated in a written agreement. Delays may occur due to factors beyond our reasonable control, including but not limited to weather conditions, supply chain disruptions, labor shortages, permit delays, inspection scheduling, material backorders, unforeseen structural conditions, or client-related delays such as failure to provide access or approvals. Shack Solutions shall not be liable for delays caused by circumstances outside of our control.

10. Access to Property

You agree to provide safe, reasonable, and timely access to the property where services are to be performed. You are responsible for removing personal belongings, securing valuables, protecting fragile items, and ensuring that pets and occupants do not interfere with the work area. Shack Solutions is not responsible for damage to items left in active work zones. You are responsible for disclosing known hazards including structural instability, mold, asbestos, faulty wiring, or other dangerous conditions.

11. Permits and Compliance

Unless otherwise agreed in writing, you are responsible for obtaining required permits and ensuring that the project complies with local building codes and municipal regulations. If Shack Solutions agrees to assist with permit applications or inspections, we do not guarantee approval by any authority. Compliance with evolving regulations may require additional work or costs.

12. Smart Home and Technology Services

Smart home systems and network-based installations depend on reliable internet connectivity, compatible hardware, and proper configuration of third-party platforms. Shack Solutions is not responsible for service interruptions caused by internet service providers, cloud platform outages, manufacturer software updates, or third-party system changes. We do not guarantee uninterrupted operation of smart home systems. Ongoing maintenance, troubleshooting, or reconfiguration after installation may require a separate service agreement.

13. Security Systems and Surveillance Equipment

If we install security cameras or alarm systems, you acknowledge that such systems are intended as deterrents and do not guarantee prevention of theft, property damage, or criminal activity. Shack Solutions does not provide monitoring services unless explicitly agreed in writing. You are responsible for complying with applicable privacy and surveillance laws, including any signage or consent requirements. We do not store or monitor surveillance footage unless separately contracted.

14. Client Responsibilities

You agree to provide accurate and complete information necessary for us to perform services effectively. You agree to review and approve documents promptly, communicate concerns in writing, and cooperate in good faith throughout the project. Failure to fulfill these responsibilities may result in delays or additional charges.

15. Warranties

Shack Solutions may provide a limited workmanship warranty as outlined in the specific project agreement. This warranty covers defects directly resulting from our workmanship under normal use conditions. It does not cover damage caused by misuse, neglect, unauthorized modifications, third-party interference, environmental factors, natural disasters, or normal wear and tear. Products installed may be subject to manufacturer warranties, and warranty claims for such products are governed by the manufacturer’s policies. Except as expressly stated, all services are provided on an “as is” basis to the maximum extent permitted by law.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Shack Solutions shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of business opportunities, loss of data, or business interruption. Our total aggregate liability for any claim arising out of or relating to services provided shall not exceed the total amount paid by you for the specific project giving rise to the claim. This limitation applies regardless of the legal theory under which the claim is brought.

17. Indemnification

You agree to indemnify, defend, and hold harmless Shack Solutions and its owners, employees, contractors, and agents from and against any claims, liabilities, damages, losses, or expenses arising from your misuse of installed systems, failure to comply with applicable laws, unauthorized modifications, negligence, or breach of these Terms.

18. Intellectual Property

All content on our website, including text, graphics, logos, designs, and layout, is the property of Shack Solutions unless otherwise stated. Unauthorized use, reproduction, or distribution of this content is prohibited. Any custom design documents or plans provided to you remain our intellectual property unless otherwise agreed in writing.

19. Marketing and Project Documentation

Unless otherwise agreed in writing prior to project completion, Shack Solutions may photograph or document completed work for portfolio, promotional, or marketing purposes. We will not disclose personal identifying information without consent. If you wish to opt out of marketing documentation, you must notify us in writing before project completion.

20. Confidentiality

Both parties agree to maintain confidentiality of proprietary information disclosed during the course of a project. This includes pricing structures, technical configurations, design documents, and business strategies.

21. Termination

Shack Solutions may terminate services if you fail to make required payments, breach contractual obligations, create unsafe working conditions, or violate applicable laws. You may terminate a project agreement subject to payment for all work performed, materials ordered, and reasonable demobilization costs.

22. Force Majeure

We shall not be liable for failure or delay in performance due to events beyond our reasonable control, including natural disasters, acts of government, supply chain disruptions, labor disputes, or other unforeseen circumstances.

23. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts located in Ontario.

24. Dispute Resolution

Before initiating legal proceedings, the parties agree to attempt good-faith negotiations to resolve disputes. Nothing in this section prevents either party from seeking injunctive relief where necessary.

25. Class Action Waiver

To the extent permitted by law, disputes must be brought on an individual basis and not as part of any class or representative action.

26. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

27. Entire Agreement

These Terms, together with any signed written agreement, constitute the entire agreement between you and Shack Solutions regarding the subject matter described herein.

28. Changes to These Terms

We reserve the right to modify these Terms at any time. Updated versions will be posted on our website with a revised “Last Updated” date. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
