Terms and Conditions of Service

This Terms and Conditions of Service agreement governs all services provided by Shack Solutions, a sole proprietorship operating in Ontario, Canada. By requesting, booking, approving, or paying for services provided by Shack Solutions, the client agrees to be bound by the terms set out below.

Legal Status and Scope of Services

Shack Solutions is a sole proprietorship providing residential and light commercial contracting services in Ontario, including but not limited to smart home installation, low voltage wiring, audio and video installation, security systems, camera systems, drywall installation, landscaping, deck construction, snow clearing, architectural design consultation, and related improvement services.

All services are provided subject to these Terms and Conditions of Service. These Terms apply to all quotes, estimates, proposals, invoices, service agreements, and project engagements unless otherwise agreed in writing and signed by Shack Solutions.

Nothing contained in these Terms shall be interpreted as creating a partnership, joint venture, employer-employee relationship, or agency relationship between Shack Solutions and the client.

Estimates and Quotes

All quotes provided by Shack Solutions are based on information supplied by the client and on visible site conditions at the time of inspection. Quotes may be provided electronically or in writing and are valid only for the period specified in the quote. If no validity period is stated, quotes shall be deemed valid for fourteen calendar days from the date issued.

Quotes are based on the scope of work described in the proposal. Any work requested outside that defined scope shall constitute a change in scope and may result in additional charges.

Shack Solutions reserves the right to revise pricing where there are material changes in labor costs, material costs, supplier pricing, site conditions, or regulatory requirements prior to formal acceptance by the client.

Acceptance of a quote occurs when the client provides written approval, electronic approval, payment of a deposit, or otherwise instructs Shack Solutions to proceed.

Deposits and Payment Terms

Where required, deposits may be collected through the website or by other agreed payment methods. Payment of a deposit constitutes acceptance of the quoted scope of work and these Terms and Conditions of Service.

Deposits secure scheduling, procurement of materials, and allocation of labor. Deposits are generally non-refundable once materials have been ordered, custom components have been fabricated, or project scheduling has been finalized.

Unless otherwise stated in writing, payment terms shall be structured as follows: a deposit due upon acceptance, progress payments where applicable, and final payment due immediately upon substantial completion of the work.

Substantial completion means the project is sufficiently complete such that it can be used for its intended purpose, notwithstanding minor deficiencies or cosmetic adjustments.

Late payments may incur interest at a rate of two percent per month, calculated monthly, on outstanding balances. The client shall be responsible for all reasonable costs of collection, including legal fees, if payment enforcement becomes necessary.

Shack Solutions reserves the right to suspend work for non-payment. Any suspension caused by client delay or non-payment may result in schedule extensions and additional charges.

Change Orders

Any alteration, deviation, or addition to the agreed scope of work must be documented and approved before implementation. Change orders may affect cost and project timelines.

Verbal requests for additional work may be acknowledged by Shack Solutions but shall not be binding unless confirmed in writing or through invoice issuance and payment.

Shack Solutions is not obligated to perform additional work without agreed compensation.

Scheduling and Delays

Project timelines are estimates only and are not guarantees. Delays may result from weather conditions, material shortages, supplier delays, labor availability, inspection scheduling, permit processing, site conditions, or other circumstances beyond reasonable control.

Shack Solutions shall not be liable for delays caused by factors outside its direct control. Where delays occur, project timelines shall be extended accordingly without penalty.

Clients are responsible for providing reasonable access to the property during scheduled work hours. Failure to provide access may result in rescheduling fees.

Site Conditions and Unforeseen Circumstances

Shack Solutions’ pricing is based on visible and reasonably discoverable site conditions. Hidden conditions, including but not limited to structural defects, mold, asbestos, wiring deficiencies, plumbing issues, water damage, or code violations, may require additional work and cost.

If unforeseen conditions are discovered, Shack Solutions shall notify the client and provide a revised estimate where applicable. Work related to such conditions shall not proceed without client authorization except where necessary to protect safety or prevent further property damage.

Permits and Compliance

Unless expressly agreed otherwise in writing, the client is responsible for obtaining required permits and approvals. Shack Solutions may assist in the permit process but does not guarantee approval timelines or outcomes.

All work shall be performed in accordance with applicable Ontario building codes and regulations to the extent required for the scope agreed upon.

The client is responsible for ensuring that homeowner association rules, condominium bylaws, or municipal restrictions are complied with prior to commencement of work.

Smart Home and Security Systems Disclaimer

Shack Solutions installs smart home systems, cameras, security equipment, and related technology. The client acknowledges that no system can guarantee prevention of theft, intrusion, property damage, or personal injury.

System performance depends on internet connectivity, electrical supply, third-party platforms, manufacturer software, firmware updates, and environmental conditions.

Shack Solutions is not responsible for service interruptions caused by internet outages, power failures, third-party cloud services, software updates, hacking, or misuse of credentials.

The client is solely responsible for compliance with privacy laws related to audio or video recording on their property. The client agrees to indemnify and hold harmless Shack Solutions from any claims arising from improper or unlawful use of surveillance equipment.

Warranty

Shack Solutions provides a limited workmanship warranty for a period of one year from the date of substantial completion, unless otherwise specified in writing.

This warranty covers defects in workmanship under normal use conditions. It does not cover damage resulting from misuse, neglect, unauthorized modification, acts of nature, third-party damage, or manufacturer defects.

Manufacturer warranties apply to products and equipment installed. Shack Solutions does not extend manufacturer warranties beyond what is provided by the manufacturer.

Warranty claims must be submitted in writing within the warranty period. Shack Solutions shall have the opportunity to inspect and remedy any covered defects.

Limitation of Liability

To the fullest extent permitted by law, Shack Solutions’ total liability for any claim arising from services provided shall not exceed the total amount paid by the client for the specific project giving rise to the claim.

Shack Solutions shall not be liable for indirect, incidental, consequential, punitive, or special damages, including loss of use, loss of profits, business interruption, emotional distress, or reputational harm.

Indemnification

The client agrees to indemnify and hold harmless Shack Solutions from any claims, damages, losses, liabilities, or expenses arising from the client’s misuse of installed systems, failure to comply with laws, or unauthorized modifications.

Termination

Either party may terminate a project prior to completion upon written notice. If termination occurs after work has commenced, the client shall pay for all work performed, materials ordered, and reasonable overhead costs incurred up to the date of termination.

Deposits may be retained to cover costs incurred.

Insurance

Shack Solutions maintains general liability insurance coverage appropriate for the services provided. Proof of insurance may be provided upon request.

Dispute Resolution

In the event of a dispute, the parties agree to attempt resolution through good faith negotiation prior to initiating legal proceedings.

These Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any legal proceedings shall be brought within Ontario.

Entire Agreement

These Terms, together with any signed proposal or invoice, constitute the entire agreement between Shack Solutions and the client and supersede prior discussions or representations.

Amendments

Shack Solutions reserves the right to amend these Terms. Updated versions shall apply to new projects initiated after publication.

Severability

If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.

Acceptance

By paying a deposit, approving a quote, or permitting work to commence, the client acknowledges that they have read, understood, and agreed to these Terms and Conditions of Service.
